Shareholder, Director & Partnership Claims

Our Commercial Disputes Team  have a great deal of experience helping clients resolve these kinds of disputes, which can be complicated from both a legal and tactical perspective.

Our clients know it’s important to have the right expertise in place to tackle these disputes and we work collaboratively across the firm, often with our corporate, employment and tax colleagues to make sure we have the best team for the job.

We regularly advise on disputes arising between shareholders, directors and partners in both the professional and business sectors and we see disputes which involve allegations relating to the duties of partners, termination and expulsion issues, restrictive covenant issues and winding up.

Our team knows first-hand the dynamics at play when a partnership dispute arises, which is why we make ourselves available 24/7 to provide advice and support to our clients whenever they need it most.

We can help you to understand the agreements you have in place, what’s implied by law, what’s in your agreements already and what rights you have.

We work on unfair prejudice claims and derivative actions for shareholders who are treated unfairly, as well as partnership actions and proceedings.

We help our clients protect their businesses and their assets from the harm caused by disputes, including by obtaining injunctive relief where necessary.

We can also look at Alternative Dispute Resolution clauses in existing agreements, and we advise on  breaches of directors’ duties, fiduciary duties  and claims in respect of secret profits.

Our team is experienced in resolving disputes through a range of processes, including litigation, arbitration, mediation and negotiation in dealing with exit of directors, shareholders and partners, division of businesses and assets, close out of business and termination of arrangements.
