Walker Morris has advised Total Capital Partners on the successful exit of Walkers Transport Holdings Limited to WS Holdco, a portfolio company of DBAY Advisors and the investment vehicle led by William Stobart.
The transaction forms part of a pair of acquisitions by WS Holdco, alongside London‑based Madex Logistics, taking the enlarged group’s revenues beyond £400m and strengthening its position as a scaled, technology‑enabled UK logistics platform.
Total Capital backed the management buyout of Walkers Transport in 2017 and has since supported the business through a period of transformational growth, including investment in proprietary technology and strategic acquisitions to build a nationwide platform.
Headquartered in Leeds, Walkers Transport provides pallet distribution, warehousing and integrated supply chain solutions across the UK and Ireland. During Total Capital’s investment period, the business grew turnover from £27m to around £70–77m, while maintaining strong double‑digit EBITDA margins.
On completion, Walkers Transport enhances WS Holdco’s capabilities in UK pallet distribution and international freight forwarding, while Madex Logistics adds a complementary London hub and European network.
Corporate Partner John Hamer led the Walker Morris team on this transaction, with support from Nicola Parkinson (Partner, Tax), Marianne McKeown (Senior Associate, Corporate) and Angus Ferguson (Associate, Corporate).
Commenting on the transaction, John said: “We’re pleased to have supported Total Capital Partners, Jason Scott and the team achieve this successful exit, having worked on the original investment by Total Capital Partners in 2017.”
Walker Morris advised Total Capital on all legal aspects of the transaction.
