Walker Morris has announced its role in advising Quantum-Systems GmbH (QS), Germany’s first unicorn in 2025, on leading a bridging convertible financing round, via QS’s UK subsidiary, for Frontline Robotics Ltd (Frontline), the UK TopCo to Ukrainian defence technology company LLC “Frontline Robotics”.
QS acted as cornerstone investor and agreed terms for potential further investment, under which it may acquire up to 25% of Frontline’s issued share capital ahead of the company’s Series A round.
QS’s convertible financing follows Frontline’s $800,000 seed round, which was backed by Ukrainian and international investors. The bridge funds will enable Frontline to scale its manufacturing capabilities and accelerate development of critical defence technologies, while laying the groundwork for QS’s planned equity stake in Frontline.
This investment exemplifies a growing trend of European defence industrial collaboration and includes a technology integration roadmap. Under the partnership, Frontline’s counter-unmanned aerial system (C-UAS) solutions will be embedded into QS’s existing unmanned aerial systems (UAS), enhancing battlefield interoperability and tactical superiority for end users.
Walker Morris Corporate Partner, Michael O’Halloran, guided the team, with assistance from Jamie Guy (Senior Associate), Jacob Bellamy (Associate) and Solomiia Merza (Paralegal).
Discussing the deal, Michael said: “We’re proud to support Quantum-Systems in deepening its strategic collaboration with Frontline Robotics. This transaction further illustrates Walker Morris’ expertise in assisting participants in the burgeoning European defence sector.”
