Walker Morris advises Real Good Food on the sale of Garrett Ingredients

Lawyers from the specialist Food Group at Walker Morris have advised Real Good Food plc on the sale of the business and certain assets of its non-core trading business, Garrett Ingredients Limited to Kent Foods Limited.

Real Good Food focuses on three main markets including: Cake Decoration (including well-known brands such as Renshaw and Rainbow Dust Colours); Food Ingredients (Garrett Ingredients, R&W Scott and Brighter Foods) and Premium Bakery (Haydens and Chantilly Patisserie).

Garretts, which sources dairy, sugar and other specialist food ingredients and sells them to large, medium and small food manufacturers across the UK, has been part of Real Good Food since 2005. This sale is part of Real Good Foods’ strategy to focus its businesses on serving the end consumer.

The Walker Morris team comprised Richard Naish and Oliver Duke (Corporate), Michael Taylor and Josh Waddington (Finance).

Hugh Cawley, Chief Executive of Real Good Food, said:

“We are pleased to have agreed the sale of this small, non-core business as part of our plan to improve the Group’s performance.”

Richard Naish from Walker Morris added:

“Through our specialist food and Drink Team at Walker Morris we’ve worked closely with a number of manufacturers and the wider food industry to develop our knowledge of the sector and provide comprehensive and commercially focused legal advice to our clients. As such we’ve been delighted to work with Real Good Food for the first time on this transaction to enable them to work towards their corporate objectives.”

Earlier this year the Walker Morris Team advised the shareholders of 3V Group on the sale of a majority shareholding to Northern Irish consumer goods company, SHS Group.
