Walker Morris advises on sale of Imtech

Walker Morris has advised long-standing client Endless LLP and the Management Team on its sale of Imtech UK, a leading engineering services company and provider of technical services to construction, industrial, commercial and public sector clients in the UK and Ireland, to EDF Energy Services.

Walker Morris originally advised Endless and the Management Team on its MBO of Imtech in 2015 after it was forced into administration when its Dutch parent filed for insolvency. With investment from Endless, Imtech is now a £400m turnover business that employs 2,100 people across the UK.

As part of the transaction, Imtech will retain its experienced management team and its operational independence.

The Walker Morris Team was led by Debbie Jackson and comprised Luke Riley (Corporate), Trudy Feaster-Gee (Competition), Peter Considine (Banking), Judith Pike and Kathryn Brook (Real Estate), Tom Peel (Construction), Jeanette Burgess (Regulatory), Alan Harper (Intellectual Property) and Andrew Rayment (Employment).

Aidan Robson, Partner at Endless commented:

“We are tremendously proud to have partnered with Imtech over the last two years. The business has outperformed on every metric, which is an outstanding achievement and demonstrates the strength of the team and business we are now passing on. EDF Energy Services will enable the business to continue to grow and offers a fantastic future for the company’s 2,100 employees.

“We wish Paul Kavanagh and the whole Imtech team along with their new owners EDF Energy Services, all the best for the future and thank them for their outstanding efforts and commitment.”

Debbie Jackson added:

“At Walker Morris we strive to form long-lasting relationships and teams with our clients, which is why 54% of our top 50 clients have been with us for 10 years or more. We have been delighted to work closely with Endless on a number of successful transactions and, having previously worked with Endless and the Management Team on the original MBO of Imtech in 2015, it is particularly satisfying to have been able to advise them on this recent sale.

“Imtech has gone from strength to strength and the acquisition by EDF Energy Services represents a great fit for both companies and we wish them every success for the future.”

The completion of the deal is subject to merger control clearance from the European Commission.
