Supporting you as a trusted adviser
We advised on the US $180 million sale of Rosemont Pharmaceuticals Ltd to US giant, Perrigo Company. We have been trusted advisers to Rosemont on all areas of its day-to-day business since its original acquisition by Close Brothers Private Equity. We have advised on strategic technology arrangements, manufacturing and supply chain arrangements, new product development projects involving marketing authorisation applications to the MHRA. We advise in a common sense, pragmatic and innovative way that reflects our client’s aims and objectives.
Project managing complex transactions
We advised on a cross-jurisdictional launch of a US medical device product in the UK. The advice included all elements from the licensing in of the technology, scale up and manufacturing arrangements to the distribution channels to cement the European supply chain. It involved advising on intellectual property protection issues around the key patent and the associated brand platform from which the product was to be launched. The advice formed a co-ordinated response from our Intellectual Property, Commercial Contracts, and Regulatory & Compliance Teams.
We advised on the original spin-out of Avacta Group plc from the University of Leeds and various fundraisings, including its £15 million placing and admission to AIM and subsequent acquisitions in shares in Yorktest Veterinary Services Limited, Theragenetics Limited, Oxford Medical Diagnostics Limited, Reactivlab Limited and Aptuscan Limited. Having been involved from its inception, we have a full understanding of the business and have helped it grow and develop. We continue to advise on the day-to-day business arrangements involved in the ongoing provision of diagnostic services and global distribution of diagnostic equipment.
We provide IT advice in the social care arena to both suppliers and customers including one of the largest social care technology solution providers. The client’s system is used by NHS Primary Care Trusts, hospitals and affiliated education and youth organisations solutions to assist professionals to coordinate joint activities for children and adults with complex needs. Our support includes guidance on licensing of their products to customers and the associated background sub-contracting arrangements to implement their solutions.
