Walker Morris advises Help-Link on acquisition of Miller Pattison

Walker Morris has advised leading boiler and central heating provider, Help-Link UK Ltd, on its acquisition of loft and cavity insulation specialist Miller Pattison, formerly SIG Energy Management, from SIG PLC.

John Hamer, partner in the Corporate Department at Walker Morris provided legal advice on the acquisition, which comes a year since the Walker Morris team advised private equity firm, NorthEdge Capital, on its investment in Help-Link.

The deal, which was completed on Thursday 23rd April, will see Help-Link expanding its unique boiler offering to incorporate insulation and build on Miller Pattison’s expertise in the photovoltaic industry serving the ECO, private and new build markets.

Help-Link has grown phenomenally since the launch of the company’s unique ‘Johnny Ball £17 per month boiler deal’ in 2011 and was further catapulted to success following the investment from North Edge.

The heating specialist currently employs over 900 staff across the UK and maintains a fleet of 500 vehicles. This rapid growth has also resulted in a revenue increase on a like-for-like basis of excess of 100%.

As part of the deal Help-Link will take on Miller Pattison’s network of 11 branches across the UK, their fleet of vehicles and 300 strong workforce.

Help-Link’s directors have a goal for the company to expand on its current boiler offerings by heating and providing energy saving measures for the entire home. The first part of this diversification plan is the acquisition of Miller Pattison.

Speaking of the purchase Help-Link’s managing director Mel Butler said; “Since establishing Help-Link 15 years ago the company has gone from strength to strength. I have always had an aim that I would like to provide energy saving measures for the entire home, the acquisition of Miller Pattison is the first of a number of purchases in the pipeline to enable us to do this.

“The strategic decision to acquire Miller Pattison, in particular, was born from the synergy of the company’s values with those of Help-Link’s – focusing on quality, longevity and customer care.   Help-Link has funded the acquisition as it forms a key part of our plans for the future.”
