Our corporate team is a go-to law firm for assistance in realising value from a maturing technology business. Examples of our experience include:
- Advising Servelec Group plc on a recommended cash offer from Scarlet Bidco to acquire Servelec’s entire issued and to be issued share capital.
- Advising the principal shareholders of Smoothwall on its management buyout backed by private equity investor, Tenzing.
- Advising PROACTIS on a transformational deal to conditionally acquire Perfect Commerce LLC for a consideration of up to $132.5 million, together with a conditional placing to raise £70 million and new debt facilities of £45 million.
- Advising Intercede Group plc on the placing of shares and convertible loan notes on AIM to raise funds of £5 million.
Business transformational technology
We also act for clients purchasing business transformational technology across a range of sectors, including Retail, Food and Drink, Healthcare, Education and Government. We engage with our clients from the outset of the buying process, helping them to identify the legal solution which best fits their technology needs, through to providing post procurement support on contract management issues, software licence disputes, and in effecting changes to long-term arrangements. Not every technology procurement goes to plan, and we seek to assist our clients to rescue projects by getting involved at an early stage and making the right decisions at the right times to keep a project going, whilst protecting the position in respect of future litigation. Where projects and relationships can’t be saved, we are experienced at managing complex technology related litigation.
The digital economy
The digital economy is changing the way that our clients do business and we can assist in advising on optimising the benefits and minimising risks from e-commerce systems. We advise on regulatory matters, such as how to manage data protection, and can advise on how best to structure websites or payment systems in a legally compliant manner, and to protect against cyber crime.
The Technology and Innovation team comprises lawyers from across the firm’s practice areas. Walker Morris is big enough to offer a substantial depth and breadth of sector-specific experience. Indeed, several members of the team have relevant sector-specific expertise derived from working in-house for companies buying and/or supplying technology. However, we are also small enough to be flexible, to be able to act quickly and effectively. The strength of the team has been recognised in our appointment to the Buying Solutions Panel to advise the public sector on IT, telecoms and e-commerce related matters.
